The terms for using the SHM website, contacting SHM, and engaging SHM for consulting work.
[01]Acceptance of these terms
These Terms and Conditions govern your use of the SHM Consulting Group website. By using the site, you agree to these terms. If you do not agree, please do not use it.
[02]Use of the website
The website provides general information about SHM Consulting Group, its services, and its insights. You may use the site for lawful business and informational purposes only.
[03]Eligibility
You must be at least 18 years old, or the age of majority where you live, and able to enter a binding agreement to engage SHM for services.
[04]Acceptable use
You agree not to misuse the site: no unlawful, infringing, or harmful activity; no attempts to breach security, scrape at scale, or overload systems; no uploading of malware; and no use that violates the rights of others or applicable law, including export and sanctions rules.
[05]Consulting engagements
Website content does not create a consulting engagement. Any paid work, deliverables, timelines, fees, confidentiality terms, and responsibilities must be agreed separately in writing.
[06]Client responsibilities
Where SHM delivers an engagement, you agree to provide accurate information, timely access and approvals, and an authorized point of contact. Delays or incomplete information may affect timelines and outcomes.
[07]Fees and payment
Fees, payment schedules, expenses, and applicable taxes are set out in the written agreement for each engagement. Unless that agreement says otherwise, invoices are due within the period stated on the invoice.
[08]Confidentiality
Each party will protect the other's confidential information, use it only for the engagement, and disclose it only to those who need it. This does not apply to information that is public, independently developed, or required to be disclosed by law.
[09]No guaranteed outcomes
SHM works to provide practical digital transformation, cybersecurity, cloud, and AI automation support. Neither the site nor our services guarantee specific business, security, compliance, or technical outcomes.
[10]Intellectual property
The website design, text, graphics, logos, software, and other materials belong to SHM or its licensors unless stated otherwise. You may not reuse them in a misleading or commercial way without permission. Ownership of engagement deliverables is set out in the written agreement for that work.
[11]Third-party services
The site may link to or embed third-party services such as scheduling tools. SHM is not responsible for third-party websites, services, policies, or availability, and your use of them is governed by their own terms.
[12]Privacy
Your use of the site and our services is also governed by the SHM Privacy Policy, which explains how we handle personal information. Please review it alongside these terms.
[13]Disclaimer of warranties
The website is provided on an as is and as available basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
[14]Limitation of liability
To the fullest extent permitted by law, SHM is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from use of the website or our services.
[15]Indemnification
You agree to indemnify and hold SHM harmless from claims, losses, and expenses arising out of your misuse of the site or your violation of these terms or applicable law, to the extent permitted by law.
[16]Termination
SHM may suspend or end access to the site if these terms are violated or to protect the service. Termination of an engagement is governed by the written agreement covering that work.
[17]Governing law
These terms are governed by the laws of the Republic of Rwanda, without regard to conflict-of-law rules, and any dispute will be handled in the competent courts of Rwanda, unless a separate written agreement states otherwise or mandatory local law requires another venue.
[18]Changes
SHM may update these terms when the website, services, or legal requirements change. We will revise the Last updated date above, and continued use after an update means you accept the updated terms.
